Paul Marcela is President & Managing Director of Governance Partners Group, LLC, of Alpharetta, GA, a corporate governance consulting firm that specializes in providing outsourced Chief Governance Officer/Corporate Secretary services to private and public companies and not for profit organizations. Paul is active at the leadership level of the Society of Corporate Secretaries and Governance Professionals, currently serving as Chair of the Society’s Private Companies Committee. Paul has served as Vice President, General Counsel & Secretary of two Cerberus Capital Management private equity portfolio companies. Previously, Paul served Dow Corning Corporation for 24 years as the Company’s Financial Counsel, most recently as Associate General Counsel & Assistant Secretary. His particular areas of legal practice include corporate governance, mergers & acquisitions and corporate, finance and securities law.

Paul has a wealth of knowledge in the corporate governance field, having led Dow Corning’s global Office of the Corporate Secretary and more recently having served as Secretary of Blue Bird Corporation and North American Bus Industries, Inc. Paul has developed the services of Governance Partners Group to service the corporate governance needs of middle market private corporations, small to mid-cap public companies and other organizations that have a need to practice good corporate governance but may not have sufficient internal resources to do so in an appropriately robust manner.
